These Terms of Service (“Terms”) govern your use of bipulroy.com (the “Website”) and any WordPress development, optimization, maintenance, or support services provided by Bipul Roy (“I”, “me”, or “my”).
By accessing this Website or engaging my services, you agree to be bound by these Terms.
1. Services Provided
I provide professional WordPress-related services including, but not limited to:
- Custom WordPress development (Gutenberg or Elementor)
- WordPress speed optimization
- Bug fixes and technical troubleshooting
- Security improvements
- Ongoing WordPress maintenance plans
- Technical consultation
Each project is individually scoped and may be governed by additional written agreements, proposals, or invoices.
2. Client Responsibilities
Clients agree to:
- Provide accurate and complete project information
- Grant necessary access to hosting, WordPress admin, domains, or third-party services
- Maintain valid licenses for premium plugins or tools unless otherwise agreed
- Respond in a timely manner to communications
- Review and approve deliverables promptly
Delays in communication or failure to provide access may affect timelines and deliverables.
3. Payments
Payments may be processed through third-party providers such as Upwork Direct Contracts, Payoneer, or bank transfer services.
- Full or partial upfront payment may be required before work begins.
- Invoices must be paid within the stated timeframe.
- Work may be paused for unpaid balances.
- Final deliverables may be withheld until full payment is received.
I do not collect or store credit card information directly.
4. Intellectual Property
Upon full payment:
- The client owns the final website deliverables.
- I retain ownership of pre-existing tools, reusable frameworks, and development methods.
- I reserve the right to display completed work in my portfolio unless otherwise agreed in writing.
5. Speed Optimization Disclaimer
Speed optimization services are implemented using industry best practices. However:
- Specific PageSpeed, Lighthouse, or Core Web Vitals scores are not guaranteed.
- Search engine ranking improvements are not guaranteed.
- Performance may vary depending on hosting, third-party scripts, CDN configuration, and future updates.
6. Security & Maintenance Disclaimer
While I implement professional security practices, no website can be guaranteed 100% secure.
I am not liable for:
- Third-party breaches or zero-day vulnerabilities
- Hosting provider failures
- Client-installed software or plugins
- Unauthorized access caused by compromised client credentials
7. Third-Party Tools & Integrations
Projects may involve third-party themes, plugins, APIs, hosting providers, and external services.
I am not responsible for:
- Third-party software bugs
- License expirations
- External service outages
- Compatibility issues caused by future third-party updates
8. Maintenance Plans & Recurring Services
8.1 Scope of Maintenance
Maintenance plans include ongoing updates, monitoring, backups, security checks, and limited support as defined in the selected plan.
Maintenance does not include full redesigns, feature development, or major structural changes unless separately agreed in writing.
8.2 Monthly Billing & Renewals
- Maintenance plans are billed monthly in advance unless otherwise agreed.
- Failure to pay may result in service suspension.
- Pricing may be adjusted with at least 30 days’ notice.
8.3 Fair Use of Support
Small tasks are defined as minor updates or fixes that reasonably fall within the allocated monthly time allowance.
Unused support time does not roll over unless explicitly stated.
8.4 Client Responsibilities During Maintenance
- Maintain valid hosting and domain access
- Avoid installing unverified plugins without consultation
- Inform me before major hosting or DNS changes
Unauthorized changes may void performance or stability coverage.
8.5 Cancellation
- Clients may cancel before the next billing cycle.
- No refunds are provided for partial billing periods.
- Services cease at the end of the paid cycle.
9. Limitation of Liability
To the fullest extent permitted by law, total liability for any claim arising from services provided shall not exceed the total amount paid for the specific project or service giving rise to the claim.
I am not liable for:
- Lost profits
- Revenue loss
- Business interruption
- Indirect, incidental, or consequential damages
10. Client Dashboard Usage
If access to a client dashboard is provided:
- You are responsible for maintaining login confidentiality.
- Unauthorized access attempts may result in account suspension.
- You may request account deletion at any time.
11. Termination
Either party may terminate a project in writing.
- Work completed up to termination must be paid.
- Refunds are not provided for completed milestones.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation.
If unresolved, disputes shall be resolved through binding arbitration conducted in Bangladesh and governed by the laws of Bangladesh.
Both parties waive the right to participate in class-action lawsuits or jury trials.
13. Governing Law
These Terms are governed by the laws of Bangladesh.
14. Changes to These Terms
I reserve the right to update these Terms at any time. Continued use of the Website or services constitutes acceptance of any updated Terms.
